Dear Supplier,BorgWarner Inc. has updated its Direct Purchase Order Terms and Conditions ("Direct Terms and Conditions"), effective August 1, 2023 ("Effective Date"). The Direct Terms and Conditions can be found below.
The Direct Terms & Conditions apply to the purchase of materials and components used directly in BorgWarner's manufacturing operations and shall govern all requests for quotations, purchase orders, purchase contracts and the like issued by BorgWarner Inc. and its affiliated entities as of the Effective Date. Renewals of existing purchase orders and purchase contracts issued after the Effective Date shall be governed by the new Direct Terms and Conditions.

Dear Supplier, BorgWarner Inc. has released new Indirect Purchase Order Terms and Conditions ("Indirect Terms and Conditions"), effective January 1, 2024 (“Effective date”). The Indirect Terms & Conditions can be found below.
The Indirect Terms and Conditions shall apply to the purchase of materials or components by BorgWarner that are not materials or components incorporated directly into BorgWarner’s finished production parts. The Indirect Terms & Conditions shall govern all requests for quotations, purchase orders, purchase contracts, purchase orders for, as an example, tooling, technology, software, professional services, capital and the like issued by BorgWarner Inc. and its affiliated entities, as of the Effective Date.
